EAFL Extraordinary General Meeting
An extraordinary general meeting of East Anglia Food Link will be held on Friday, 3rd October, 2008 at 2.00pm, at the EAFL Offices, The Street, Long Stratton, Norfolk, NR15 2XQ. The sole purpose of the meeting is to vote on a special resolution to adopt an amended Memorandum and Articles, updating them to reflect how EAFL works today. All members are invited to attend and have been send notice of the meeting by post.

Proposed amendments to East Anglia Food Link’s Memorandum and Articles

Memorandum of Association
- Removal of second object, relating to “fostering and supporting the principles and concept of common ownership”. While EAFL supports co-ops, this is a subsidiary aim to our main one of creating sustainable food systems.
- Articles of Association
- Replacement of references to “General Council” with “board”
- Clarification of wording about people ceasing to be members of the co-op if they cease to be employed by the co-op, so that a former employee can still choose to pay a subscription
- Removal of passages about the first year of EAFL's existence, as this no longer applies
- Removal of requirement for a six-monthly Ordinary General Meeting. The Articles now only require an Annual General Meeting plus the option of an Extraordinary General Meeting
- Removal of references to an Auditor, as EAFL generally avoids the expense of having the accounts as a whole audited
- Removal of passage allowing advertisement of a General Meeting by putting up a notice at the workplace
- Introduction of option to communicate with members by email rather than post
- Amendment of the rules surrounding the quorum for general meetings, allowing a non-quorate meeting to make decisions, which will stand unless challenged by any member within 2 weeks of receipt of the minutes
- Removal of stipulation that directors take a break from the board every 6 years
- Removal of strict requirements for the makeup of the board. This used to specify, for example, that one member of the board had to be nominated by Farmers' Link
- Removal of requirement for a seal
